Summary

This proposal seeks to realign the RWArtwork Collection governance process to better integrate the interests of all participants within the Bensi Box community.

The current resale model allocates 100% of the proceeds from a sale of RWArtwork to fractional NFT holders.

While this current resale model made sense before the launch of The face, it lacks crucial elements needed to align the protocol. The current resale model does not align NFT holders with the voters of governance proposals ($BENSI token holders) and it incentives no one to find the next buyer of our RWArtworks. Additionally, $BENSI token holders currently receive all trading fees (royalties) from secondary markets, but the sale of RWArtwork would reduce the number of collections available for trading, impacting overall returns for $BENSI token holders in the Moat. Lastly, there is currently no incentive for community members to find the next buyers of our collection. While our marketing is good for web3, it may not be the most effective for curating potential buyers. To help encourage and facilitate better opportunities for Bensi Box, we believe a Finder's fee is necessary to implement in a new resale model.

To improve alignment within the community, we propose a revised Resale Model for the distribution of proceeds from RWArtwork sales.

Proposed Resale Model

Under the new Resale Model, proceeds from the sale of RWArtwork would be distributed as follows:

• 90% to Fractional NFT Holders
• 7.5% to $BENSI Moat Participants
• 2.5% as a Finder's Fee

Breakdown of the Allocation:

Fractional NFT Holders (90%): The majority of proceeds will continue to be distributed to fractional NFT holders. NFT holders will have the ability to burn their NFTs in exchange for their portion of the sale proceeds. Each NFT will have the same % of rewards tied to it. A dedicated page will be deployed on the Bensi Box website to facilitate this process when necessary.

$BENSI Moat Participants (7.5%): This allocation rewards $BENSI token holders for their role in governance and offsets the loss of royalties due to the sale of RWArtwork. This portion would be distributed to Moat participants with a goal date given at the notice of the sale.

Finder’s Fee (2.5%): To incentivize the discovery of buyers, a 2.5% finder's fee will be granted to the community member (either a $BENSI or fractionalized NFT holder) who introduces the buyer to Bensi Box. If the deal is approved by Benis Box pre-vetting and the main governance process, the finder would receive a reward.
