Signal Proposal: Transfer of Aavegotchi Intellectual Property to the AavegotchiDAO Foundation

Motivation: The Aavegotchi brand is among the most distinctive identities in on-chain gaming. Currently the Aavegotchi identity is held by Pixelcraft Studios as corporate IP. Transferring that IP to the AavegotchiDAO Foundation aligns legal ownership with the envisioned economic and governance reality. The community has carried this brand. The GHST and asset holders govern this protocol. Accountable to on-chain governance via its Constitution, the Foundation is the appropriate custodian of the IP, serving as the DAO's off-chain legal agent, enabling the DAO to license, enforce and commercialise its own brand.

Summary: This Signal Proposal asks the AavegotchiDAO community to express its support for the transfer of Pixelcraft Studios' Aavegotchi-related intellectual property to the AavegotchiDAO Foundation. This intellectual property includes core trademarks, brand assets, and related IP over which Pixelcraft holds transferable rights. An affirmative signal here authorises the Foundation to commence formal coordination with Pixelcraft Studios on the legal mechanics of transfer, contingent on the passage of the subsequent Core Proposal. This proposal is scoped strictly to intellectual property. Operational stewardship during and after any transition is addressed in a separate, forthcoming Signal Proposal.

Any obligtions between the DAO and Pixelcraft, especially any previous revenue sharing agreements, like in AGIP133, remain entirely unaffected by this proposal and the outcomes thereof.

Final recipience of the IP and full completion of the transfer are contingent on the review of the transition documents by a counsellor familiar with legal matters regarding Intellectual Property.

Assets in Scope: IP and Brand Assets • Core Aavegotchi intellectual property, including the Aavegotchi name, visual identity, and associated lore assets (particularly: the two primary trademarks currently held by Pixelcraft: the original Aavegotchi word/logo mark and the original Aavegotchi pixel art character (“main Gotchi”); • Principal Aavegotchi trademarks, in all jurisdictions where registrations are held or pending; • Related brand assets — logos, character designs, iconography — over which Pixelcraft Studios holds transferable rights (including: "to assign to the Aavegotchi DAO Foundation any unregistered or common-law rights it holds in later stylized Aavegotchi wordmarks, game logos, icons, character designs, and other source-identifying brand assets, together with the associated goodwill arising from their use in commerce.").

DAO Signal - Outcomes: If This Proposal Passes A vote of Yes on this proposal communicates that the AavegotchiDAO community: • Supports the transfer of core Aavegotchi IP and principal trademarks from Pixelcraft Studios to the AavegotchiDAO Foundation; • Accepts that Pixelcraft Studios will cover the currently estimated legal and registrar costs of the trademark transfer (approximately USD 4,000) as a contribution to the transition; • Authorises a duly appointed Foundation official to execute the requisite legal documentation to effect the transfer, acting in accordance with the DAO's expressed will; and • Understands that the execution of any actual transfer is contingent on the subsequent passage of a related Core Proposal, in accordance with the DAO's governance framework.

If This Proposal Does Not Pass • No transfer of intellectual property is initiated; • Pixelcraft Studios retains its current ownership of Aavegotchi IP and trademarks; • The DAO shall continue deliberation and submit a revised proposal at earliest convenience.
