These Goverland Terms of Use describe the terms and conditions of Goverland Inc. ("Goverland", "we", "us", and "our"). By accessing, downloading, using or clicking on "I Agree" to accept any Goverland Service provided by Goverland, you agree that you have carefully read, understood, and accepted all of the terms and conditions within these Terms of Use ("Terms") as well as our Privacy Policy.

IF YOU DO NOT AGREE TO BE BOUND BY THE TERMS OF USE, YOU MAY NOT ACCESS OR USE THE SERVICES.

The company reserves the right to modify these Terms at any time, with changes posted on this page indicating the revision date. Notice of material changes will be provided through the website, app, email, or other reasonable means. Changes become effective fourteen days after posting, except for immediate changes addressing new functions. Continued use constitutes acceptance of modifications.

Description of Services

Goverland serves as a data aggregation platform that specializes in the collection, enrichment, and provision of governance data from a wide range of Decentralized Autonomous Organizations (DAO) platforms, DAO Operating Systems, and frameworks, including but not limited to Snapshot, Governor Contracts, Moloch Contracts, Aragon, SuperDAO, and other key platforms that participate in the governance process within various DAOs.

The platform gathers governance data from publicly accessible APIs, enriches this information with analytical insights, and provides it through a mobile application, SDKs, and open-source API.

Intellectual Property Rights

General

The Goverland mobile application, SDKs, and websites, and their entire contents, features, and functionality (including software, text, images, videos, audio, design, and information) are owned by Goverland Inc.

Users receive a limited, personal, non-commercial use license. A single copy of the app may be downloaded for personal, non-commercial purposes under the end user license agreement. Goverland name and logos are trademarks; other company names displayed may be trademarks of their respective owners.

Submissions

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Site or the mobile application ("Submissions") provided by you to us are non-confidential and shall become our sole property.

The company owns exclusive rights to all submissions and may use them without restriction, compensation, or acknowledgment. Users waive all moral rights to submissions and warrant they are original or properly authorized. Users agree there is no recourse regarding alleged infringement of any proprietary rights.

Mobile Application License

Use License

We grant you a revocable, non-exclusive, non-transferable, limited right to install and use the Goverland App mobile application on wireless electronic devices owned or controlled by you, and to access and use the mobile application on such devices strictly in accordance with the terms and conditions of this mobile application license contained in these Terms of Use.

Prohibited actions include:

• Decompiling, reverse engineering, or decrypting the application
• Making modifications or derivative works
• Violating applicable laws
• Removing proprietary notices
• Using it for revenue-generating purposes
• Creating competing products
• Sending automated queries or unsolicited commercial email

Apple and Android Devices

For applications obtained from Apple Store or Google Play, the license is limited to non-transferable use on devices with iOS or Android operating systems per the app distributor's usage rules. Goverland provides maintenance and support; the App Distributor assumes no such obligation.

Users represent they are not in embargoed countries or on prohibited party lists and must comply with third-party agreements. App Distributors are acknowledged as third-party beneficiaries with enforcement rights under these Terms.

Prohibited Activities

You may only use the Goverland App mobile application and Services for lawful purposes and in compliance with these Terms.

Users may not:

• Interfere with Services or connected servers
• Violate federal, state, local, or international laws
• Obtain materials through unauthorized means
• Further criminal activity or provide illegal instructional information
• Exploit minors
• Impersonate others
• Restrict anyone's use of Services
• Use interfering devices or software

Termination of Use

Goverland is free to terminate (or suspend access to) your use of the Services for any reason in our discretion, including your breach of this Terms of Use.

Goverland has sole discretion to determine violations. Suspended users may access their wallets directly through other services. The company provides no liability for suspension or termination.

Fees

The Services are currently free, but the company reserves the right to charge for certain or all Services in the future. Users will be notified before services they use begin carrying fees. Continued use requires payment of applicable fees.

Disputes

Arbitration Agreement

If we cannot resolve the dispute through the Formal Complaint Process, you and we agree that any dispute arising out of or relating to this Agreement or the Services, including, without limitation, federal and state statutory claims, common law claims, and those based in contract, tort, fraud, misrepresentation, or any other legal theory, shall be resolved through binding arbitration, on an individual basis.

Subject to jurisdictional requirements, users may pursue small claims court if the matter remains in small claims court on an individual basis. Arbitration follows American Arbitration Association consumer dispute rules.

Arbitration Procedures

A single neutral arbitrator conducts the arbitration, which occurs in the user's county or parish or another mutually agreed location in English. The arbitrator may award any relief a competent court could grant. At user request, hearings may be conducted in person or by telephone. The prevailing party may recover costs and attorney fees.

Waiver of Class Action and Jury Trial

YOU AND WE AGREE THAT, BY ENTERING INTO THIS AGREEMENT, YOU AND GOVERLAND ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

YOU AND WE ACKNOWLEDGE THAT ARBITRATION WILL LIMIT YOUR LEGAL RIGHTS, INCLUDING THE RIGHT TO PARTICIPATE IN A CLASS ACTION, THE RIGHT TO A JURY TRIAL, THE RIGHT TO CONDUCT FULL DISCOVERY, AND THE RIGHT TO APPEAL.

Disclaimers

None of Goverland, its parent, any of its affiliates, subsidiaries, providers or their respective officers, directors, employees, agents, independent contractors or licensors (collectively the "Goverland Parties") guarantees the accuracy, adequacy, timeliness, reliability, completeness, or usefulness of any of the Content and the Goverland Parties disclaim liability for errors or omissions in the Content.

This Goverland website, Goverland SDK, Goverland API, and Goverland App and all of the Content is provided "as is" and "as available," without any warranty, either express or implied, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement or title.

Availability

The Goverland website may be temporarily unavailable from time to time for maintenance or other reasons. Goverland assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, user communications.

Limitation on Liability

EXCEPT IN JURISDICTIONS WHERE SUCH PROVISIONS ARE RESTRICTED, IN NO EVENT WILL GOVERLAND OR ITS DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING FOR ANY LOST PROFITS OR LOST DATA ARISING FROM YOUR USE OF THE SERVICES OR ANY OF THE CONTENT OR OTHER MATERIALS ON OR ACCESSED THROUGH THE SERVICES, EVEN IF GOVERLAND IS AWARE OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, TO THE EXTENT PERMITTED BY APPLICABLE LAW GOVERLAND'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO GOVERLAND FOR THE SERVICES.

Governing Law

By visiting or using the Services, you agree that the laws of the state of New York, without regard to any principles of conflict of laws that would require or permit the application of the laws of any other jurisdiction, will govern this Agreement.

Indemnity

Users agree to indemnify and hold Goverland, its subsidiaries, affiliates, service providers, and their respective officers, directors, agents, joint venturers, employees, and representatives harmless from claims, demands, attorney fees, and regulatory penalties arising from user breach of the Agreement, violation of laws or regulations, or infringement of third-party rights.

User Data

The company maintains data transmitted to the Site and app for managing performance and analyzing usage patterns. Users are solely responsible for all transmitted data and activity-related data. The company performs regular backups but has no liability for data loss or corruption, and users waive rights of action for such losses.

Miscellaneous

These Terms of Use and any policies or operating rules posted by us on the Site or in respect to the Site and the mobile app constitute the entire agreement and understanding between you and us.

Company failure to exercise rights does not constitute waiver. These Terms operate to the fullest extent permissible by law. The company may assign rights and obligations. It is not responsible for losses from causes beyond reasonable control. Unenforceable provisions are severable and do not affect remaining provisions. No joint venture, partnership, employment, or agency relationship exists.
