The AI Protocol Institute is the governing body of the “AI PROTOCOL” (AIP), a set of permissionless decentralized smart contracts that serve as a public good for the global commons.

We propose this Constitution on the behalf of all the members of the AI Protocol Institute to lay the foundation for fundamental values and operating principles of the governing body. It also demarcates the broader scope of actions that will be taken by the governing body, the AI Protocol Institute (AIPI), with respect to the governance of the AI Protocol.

With the progressive decentralization of the AI Protocol as the true north, we present this Constitution to vote upon to start the process of progressive decentralization.

Constitution

The Constitution of the AI Protocol is a set of binding rules that determine the fundamental values and operating principles of the governing body. It also demarcates the broader scope of actions that will be taken by the governing body, the AI Protocol Institute (AIPI), with respect to the governance of the "AI PROTOCOL" (AIP): a set of permissionless decentralized smart contracts that serve as a public good for the global commons.

The AI Protocol (AIP) is the property rights backbone of the Generative AI economy. It enables the creation, interoperability, and governance of AI Characters and Assets—the building blocks of tomorrow's intelligent world. With its suite of persistent and decentralized smart contracts, the protocol self-enforces the rules set by ALI token holders. This enables creators to build AI dApps and assets that are interoperable with each other and provides a secure and trustless environment in which tokenized AI assets can be traded.

PREAMBLE

We, the People, of the AI Protocol Institute, to form an efficient governing body and to ensure democratic, unbiased, just, and fair use of the AI Protocol, and/or all other future technologies that are intended to be governed by this decentralized entity, hereby adopt, enact and give ourselves this constitution.

ARTICLES

Each article herein defines the nature of permissible and non-permissible content created that utilizes the AI Protocol and/or all other possible future technologies that are intended to be governed by this decentralized entity. The specified articles shall be considered by the members of the governing body while passing or opposing any motion or bill proposed to the AI Protocol Institute.

A. SECTION 1

Section 1 of the Constitution of the AI Protocol proposes the framework for matters that are fundamental to the existence of this Constitution.

Article 1. Existence

This Constitution exists as a set of organizational principles that provide a guiding framework for the AIPI to use, ensuring that decisions are made in the spirit of its foundational values. The Constitution of the AI Protocol provides the guiding philosophies or "True North" principles to be considered during any proceeding that may concern itself with the AIPI as a decision-making or governing body.

The duration of this Constitution is indefinite, and the official language of the framework is currently done so in English. Only the members of the AI Protocol Institute can participate in the decision-making process or proceeding that concerns itself with the AI Protocol and/or all other possible future technologies that are intended to be governed by this decentralized entity.

Article 2. Membership

Any party in the custody of a wallet that holds the official ALI Utility Token (ERC 20 Asset on Ethereum and/or Polygon and/or other blockchains) shall be a member of the AI Protocol Institute and shall be considered entitled to participate in AIPI decision-making processes or proceedings open to its members. When the parties referred above no longer hold the official ALI Utility token, they shall be considered ineligible to participate in the decision-making or governing process or proceeding of the AI Protocol Institute.

Article 3. Scope and Power

Any party in the custody of a wallet that holds the official ALI Utility Token (ERC 20 Asset on Ethereum and/or Polygon and/or other blockchains) shall be a member of the AI Protocol Institute and may participate in any eligible decision-making process within the AI Protocol Institute.

The members of the AI Protocol Institute hold the right to vote or not vote 'for' or 'against' the proposed motion or bill during the proceedings. The AI Protocol Institute Framework shall be followed as the AI Protocol is progressively decentralized.

B. SECTION 2

Section 2 of the Constitution of the AI Protocol proposes the framework for the matters that are crucial to the values of this Constitution. All the members of the AI Protocol Institute are encouraged to facilitate the nourishment of these values for a healthy environment for democratic governance and decision-making.

Article 4. Amendments to the constitution of the AI Protocol shall be made by the majority.

Any Amendments to this constitution shall be made by the majority vote as mentioned in the AI Protocol Institute Framework.

Article 5. Severability Doctrine

Any party using the services of the AI Protocol, and/or all other possible future technologies that are intended to be governed by this decentralized entity must not violate the laws of the State, Nation, or Country they reside in and shall assume full responsibilities and liabilities as such, relieving any contractors, assigns, subsidiaries, agents, and/or heirs, fully and wholly, of any liability as a result of any violation of law by said party.

Article 6. No children shall be harmed, exploited, assaulted, or impacted negatively.

The AI Protocol Institute condemns any actions that directly or indirectly harm, exploit, assault, harass, negatively impact or lead to sexual exploitation, harassment, assault, or objectification of any person. The AI Protocol Institute also condemns any content featuring minors that is sexually explicit or suggestive, that sexually exploits minors, exposes minors to inappropriate adult themes, simulates parental abuse, coerces minors, or features minors in a way that is thematically violent in any manner.

Any such actions shall be responded to by the AIPI with swift action, and violations of this Article may result in an investigatory suspension and/or permanent banning from using the technologies governed by the AIPI.

C. SECTION 3

Section 3 of the constitution of the AI Protocol provides the framework for matters that may arise under unforeseeable circumstances. These rules shall facilitate the smooth functioning of the proceedings in the AI Protocol Institute.

Article 7. Emergency

In case of dissolution or a constitutional crisis of the AI Protocol Institute, the decision shall be made in the best interest of the greatest number of the members of the AI Protocol Foundation.
