Defining DAO Council Roles & Responsibilities

Purpose: To outline the DAO Council鈥檚 structure, identify opportunities for community involvement and set guidelines for our semi-annual elections - 1 Ape = 1 Vote

The DAO Council has three major roles: 1.) Securing the keys for all community wallets as well as any other DAO assets, IP, and access credentials. 2.) Demonstrating positive stewardship and engendering superlative culture in and around Dope Ape Club DAO.

Council members are expected to manage DAC resources, and will preferably use their networks & skills to support the DAO's objectives and growth. Council members should have no conflicts of interest or they shall recuse themselves on council votes. Assuming a council member fails to demonstrate Integrity in all interactions they should forfeit their volunteer position. It is an imperative that Council members be able to clearly and consistently demonstrate their prioritization of DAC DAO if any conflicts of interest are identified.

Council Structure: There are five seats on the DAO Council. To initiate any transfer of funds from the community wallet over $500 three out of five members must approve it on-chain. For any other wallets, transfers or centrally managed assets (like X credentials etc.) authorization will also follow a 3 out of 5 consensus.

Council members will report all disbursements including transactions beneath the $500 threshold on 鈦狆煉硷副dao-council , and record them in the general ledger Google spreadsheet (pinned and shared in the Discord at 鈦狆煍楋副official-links ).

Council Elections: a voting period beginning September 15th will open every six months, and council candidates can share their thoughts on how to propel us forward over a two-week 鈦燿ac-forum session. Following this a snapshot vote will be initiated, and the new council will be formally elected to serve their term on or around October 1st. Those candidates whom receive the highest number of votes win with the final vote total constituting 'Yes' minus 'No' for each nominee. If any proposal including elections receives more negative votes than positive at expiration of the voting period it will be nullified. Following this outcome a 30-day waiting period will be instituted before the proposer can initiate a new proposal.

For our initial election each candidate must receive at least 500 DAC votes from a minimum of fifteen unique community holders if nominated by a current council member, or 1,500 votes total if unnominated. *Nominees cannot vote for themselves on the ballot using DAC tokens in any wallet wherein they maintain ownership or beneficiary interest. Voting structure, quorum requirements, and auditing policies will be discussed further for future votes.

Special Roles: Community members whom express interest in leading the DAO will be eligible for the following roles via appointment by the DAO Council:

Social Media Ape - manages social platforms Technical Ape - available to code or support DAC business initiatives Partnerships Ape - discovers & manages collabs

For each special role multiple community members can be selected, and they will decide how to best share their various responsibilities. New roles for the community can also be created if they are clearly defined and council-approved. Following a request from any special role ape to step down a new community member will be eligible to take their place pending council approval.

There is no requirement that Snapshot be used for adding or removing special roles within the DAC community although any special role title can be removed by the DAO council if at least three out of five members explicitly approve within the general chat.
