TL;DR

Spice DAO Inc. is ready to sign a legally binding contract with Frank Miller Presents LLC agreeing to a three year license to exclusively represent FMP IP in Web3 until Dec. 31, 2024.

Proposal

Frank Miller Presents (FMP) is a boutique print publishing company founded by legendary creator Frank Miller (300, Sin City, The Dark Knight) and Dan DiDio, former publisher of DC Comics (Batman, Superman, Wonder Woman). FMP will publish a minimum of one new Frank Miller IP and one creator-owned IP per year as a comic book series or graphic novel.

Spice DAO will exclusively own the Web3 rights for each FMP IP until Dec. 31, 2024. The DAO will vote on how to execute each IP as a Web3 project (DeFi, NFT, DAO, P2E, Social Token, etc).

The first FMP project Spice DAO will produce is a 10K PFP NFT project of Frank Miller Presents: Ancient Enemies (AE). AE is an upcoming four issue comic book miniseries written by Dan DiDio with art by Danilo Beyruth, featuring The Geek created and illustrated by Frank Miller. The AE NFT collection will debut the entire cast of heroes and villains from the miniseries before Issue #1 is physically printed and mailed to NFT holders in November 2022. The AE NFT collection will mark the first time an original character created by Frank Miller is born in the metaverse.

PHASE 1 (JUNE 2022)

1. Sell 10K NFTs @ 0.1 ETH each = 1,000 ETH
2. Spice DAO recoups the first $500,000 in sales (equivalent in ETH)
3. Spice DAO earns 50% from primary sale
4. Spice DAO earns 50% of first $250,000 in royalties generated on secondary market (equivalent in ETH)

PHASE 2 (SEPTEMBER 2022)

1. 10K Mint Pass @ 0.1 ETH = 1,000 ETH
2. Airdrops for Phase 1 NFT holders
3. Burn mechanics for additional rewards
4. TBD (Plans are still in development)
5. Spice DAO earns 50% from primary sale and 50% of first $250,000 in royalties generated on secondary market (equivalent in ETH)

Budget & Schedule

Spice DAO Inc. will guarantee Frank Miller Presents LLC $1,000,000 as an advance on future NFT sales to be paid over three years. Paid via wire transfer to Bank Of America account named Frank Miller Presents LLC.

Spice DAO will compensate the group responsible for project management; product design; visual assets; generative algorithm; smart contract; mainnet expenses; dedicated website; community management; sales and marketing; allowlist subscriptions and collector relations; driving secondary market activity; and extended audience engagement campaigns with 20% of total sales.

Request

The Core Team views the FMP Licensing Deal as an opportunity to control new premium content in Web3 created by legendary artists. We believe the initial payment of $500,000 is a risk-free investment since we will recoup that amount from our allowlist pre-sales. The additional payments over the next two years will be recouped by Spice DAO from primary and secondary sales of the AE NFT Collection in addition to revenue generated from future FMP IP Web3 projects.
