TL;DR
This proposal establishes a constitution for the FreeRossDAO (the “FRD” or “DAO”) with the goal of empowering community members to easily take action while ensuring those actions adhere to the mission of the DAO and protect the safety of Ross Ulbricht. Specifically this proposal repeals governance Proposal #1 and Proposal #3 and in their place establishes:
- the process by which proposals are passed;
- a clear set of guidelines all proposals must follow;
- Review and Advisory Councils to ensure proposals meet our guidelines and protect the safety of Ross Ulbricht;
- and Multi-Signers to ensure proposals are executed and enforced.

ARTICLE 1
Community, The Legislative Branch

Any updates to the DAO’s Constitution or actions that require funding or other material support from the DAO must be done via a governance proposal.

Any $FREE holder may author and directly submit proposals to the Review Council provided they adhere to the Proposal Guidelines (Article 5).
ARTICLE 2
Review and Advisory Councils, The Judicial Branch

The Review Council’s ONLY role is to ensure all submitted proposals adhere to the DAO’s Proposal Guidelines.

The Review Council consists of five members who will serve for 6 month terms unless they resign or are removed by the community. Members may be reelected for multiple terms, added to, or removed from the Review Council at any time via a standard governance proposal. Members of the Review Council are not permitted to concurrently serve as a Multi-Signer or as a member of the Advisory Council and will not be held liable for any actions of the FreeRossDAO. The founding members of the Review Council are:

Each member of the Review Council will receive $1,000 worth of $FREE for each month they serve with the price of $FREE set on the final day of the month.

Once received, the Review Council has 72 hours to veto a proposal. A proposal is vetoed if two or more members of the Review Council veto it before the end of the review period. Members of the Review Council must recuse themselves if they are listed as an author on any proposal under consideration.

If vetoed, proposals are returned to the author(s) with a clear explanation by the Review Council for precisely how the proposal violated the DAO’s Proposal Guidelines. If proposals are not vetoed within the 72 hour review period, they automatically proceed to the Advisory Council.

The Advisory Council’s ONLY role is to ensure all proposals passed by the Review Council avoid causing potential harm to Ross Ulbricht or his cause.

The Advisory Council is to always consist of a maximum of four members who will remain in place until they resign or are replaced by the remaining members of the Advisory Council. If a member of the Advisory Council is to resign or be replaced, a new member will be confirmed by the Advisory Council before the end of the 10th business day following their departure. A new member will be confirmed and installed if they receive approval from every remaining Advisory Member, less one. Members of the Advisory Council are not permitted to concurrently serve as a Multi-Signer or as a member of the Review Council and will not be held liable for any actions of the FreeRossDAO. The founding members of the Advisory Council are:

- Mark (Ross’s lifelong friend)

Advisory Council members will receive no compensation.

Once received, the Advisory Council has 72 hours to veto a proposal. A proposal is vetoed if two or more Advisory Members veto it before the end of the review period. Members of the Advisory Council must recuse themselves if they are listed as an author on any proposal under consideration.

If vetoed, proposals are returned to the author(s) with a clear explanation by the Advisory Council, to the extent it can do so consistent with protecting Ross’s interests, for the basis of the veto. If not vetoed within the 72 hour review period, proposals will proceed and be published by the Multi-Signers on snapshot.org or other similar service for a community vote by $FREE holders where the proposal will either be rejected or passed and put into effect.
ARTICLE 4
Multi-Signers, The Executive Branch

The Multi-Signers’ ONLY role is to ensure that the proposals successfully passed by the community are executed and enforced.

Multi-Signers collectively control the DAO’s treasury. Any movement of funds is only permitted if authorized via a governance proposal and the threshold for approving transactions must require a majority of the Multi-Signers to approve.

Each Multi-Signer will receive $1,000 worth of $FREE for each month they serve with the price of $FREE set on the final day of the month.

The Multi-Signers will consist of seven members who will remain in place until they resign or are removed by the community. Multi-signers may be added to or removed at any time via a standard governance proposal. Multi-Signers are not permitted to concurrently serve as a member of either the Review Council or the Advisory Council and will not be held liable for any actions of the FreeRossDAO. The founding Multi-Signers are:

ARTICLE 5
Proposal Guidelines
All governance proposals must adhere to the following structure and guidelines:

TITLE: Must have a concise title clearly related to the content of the Proposal.

TL;DR: A short overview of the proposal.

DESCRIPTION: Detailed description of the nuts and bolts of the proposal.

MISSION ALIGNMENT: Must state specifically how this proposal supports at least one pillar of the DAO’s mission.

FIXED BUDGET & PAYOUT SCHEDULE: All proposals must specify a fixed budget and the schedule for payouts.

SUNSET DATE: All proposals must include a specific date when the proposal will be completed and after which point it will no longer be in effect.

SUCCESS METRIC: Each proposal must include a single measurable success metric and define the specific threshold for success or failure of the proposal.

$FREE REWARD: All proposals must specify the amount of $FREE that will be rewarded if the proposal meets or exceeds their success metric. $FREE rewards will only be distributed after the Sunset Date of the proposal when author(s) submit a post mortem report to the Multi-Signers outlining their learnings and data to back-up their Success Metric.

WALLET ADDRESS: Single wallet address that requested funds will be disbursed to if the proposal is approved.

AUTHOR(S): List of all the people who wrote the proposal.

LEAD: Each proposal must have a single person who is ultimately responsible for the success or failure of the proposal.

VOTE OPTIONS: Clearly outline the voting options to pass or reject a proposal.
MISSION ALIGNMENT
In order for the FreeRossDAO to achieve our ambitious mission we must develop and adopt a governance process that empowers anyone in our community to easily take action while ensuring those actions adhere to the mission of the DAO and protect the safety of Ross Ulbricht.

SUNSET
This proposal will expire and no longer be in effect on May 1st, 2023.
SUCCESS METRIC
The number of proposals passed per month is the success metric for this proposal. If on average during the period of time this proposal is in effect the DAO successfully passes more than 1 proposal a month this proposal will be considered a success.
$FREE REWARD
If this proposal reaches or exceeds the Success Metric by the Sunset date then $10,000 worth of $FREE will be sent to Nene’s wallet which Nene will hodl and only use for voting purposes until Ross Ulbricht is freed from prison.
