Summary Work to engage Ryon Nixon, Founding Partner of Horizons Law in his capacity as an autonomous lawyer and espousing said principles of autonomous lawyering on behalf of the Rari Protocol. Horizons Law is a leading crypto law firm and Ryon Nixon can add value in securing the Rari Capital product lineup (from a regulator POV) and lay the foundation for the inevitable expansion (like fundraising and M&A).

Background Horizons Law is a leading crypto corporate law firm who has worked with various projects like Synthetix, Solana and Flow to ensure they are on the right side of regulation and helped assist them to become the projects they are today.

The Rari Capital Team has worked with Horizons Law in the past. During Jack and Jai’s time at MyCrypto, they were able to closely collaborate with Horizons Law (Ryon Nixon, Partner at Horizons Law, specifically) which has allowed them to determine this is the best partner as the legal heads of the protocol as it grows.

Abstract After deep discussions with Ryon Nixon, the following terms are being proposed: Lock in a price of $15 per RGT Set up a 3 month vest for each token being received Set a maximum of a $30,000 spend before the terms are re-negotiated, which will require another protocol vote

After enlisting Ryon Nixon and engaging with Horizons Law through Jai Bhavnani, one of the protocol pioneers, they will become the protocol’s legal team.

As the protocol’s legal team, they will be responsible for: Ensuring substantial compliance with the current products and token Advising over future governance and product decisions Assisting with protocols expansion via potential fundraising and M&A activities

While this may seem like a large expenditure, ensuring the protocol is on the right side of the law will prove beneficial over the long term. Ryon Nixon will represent the protocol as an autonomous lawyer but may also represent Jai Bhavnani through his Firm when it is necessary, for the sole purpose of acting as a bridged entity to help the protocol. The facilitation of discussions with the legal team will be led by Jai Bhavnani, primarily in open forums where everyone is encouraged to participate in determining the best route to deploy this talent (when it can be).

These communities and the persons in them are not my clients and I have no intention to treat their information as confidential or attorney-client privileged. I am acting on my own behalf, but will seek to provide accurate and honest information while observing my general nonrepresentational professional responsibilities such as demonstrating respect for the legal system.

Motivation One of the biggest questions left in DeFi is how regulation will respond. By working with lawyers in such an early stage, it will enable us to be prepared for any shift in regulation. Additionally, working with the legal team will enable us to access a wide range of opportunities that weren’t possible before.
