All meetings shall be preceded by notice to Members and follow a prepared agenda. An agenda should be distributed prior to the meeting. Accurate minutes shall be kept of all meetings and distributed to all attendees within a short period following the meeting. It is important that any deficiencies in minutes promptly be brought forth. Members may setup general working group meetings at any time to network or to get to know new members. However the annual IP Meeting should take place at least once a year at the invitation of the Trustee of the Inheritance. An extraordinary meeting shall be convened in an unexpected death event of the trustee. In that case, all Members of the specific IWG must take part in the meeting. As an invitation, sending an email to the last known email address of the Member is sufficient. The annual Meeting decides in particular:

It is for the member whose inheritance is being discussed to plan, document, share notes , co-ordinate and execute the meeting with the IWG members.
2.1 Delinquency: non Attendance annual meeting
In the event that a Member does not respond to an invitation or does not attend at an annual meeting, core members will exclude that person from IWG. This will be noted in the IP documentation.
2.2 Termination of Membership
The Membership of any Member shall terminate upon the occurrence of any one or more of the following:
(a) Resignation
Any Member may resign from the IDAO via a written request filed with a Member of the core Team. The resignation of a Member shall not relieve the Member from any obligation to hold all IWG related to a specific Inheritance Plan, private at all times.
(b) Expulsion, Termination or Suspension
The Membership of any Member may be terminated For Cause upon the affirmative vote of two-thirds (2/3) of the Members of a IWG or core team after a hearing duly held. As used in this Section,
here, a two-thirds (2/3) vote means two-thirds (2/3) of the Members of a IWG. For purposes of this Section For Cause shall mean that the Member has materially breached the Membership Agreement, Code of Conduct, (eventual Bylaws). Should a member be hence expulsed from a IWG, the core team can still decide to not exlude a member from the DAO. However this should be judged on case by case basis. Any expulsion from a IWG needs to be submitted for review to core team. Core team has to approve the expulsion .
Following the approval by the core team that a Member should be terminated the following procedures shall apply:
A notice shall be sent by mail to the most recent address of such Member as shown on the IDAO records, setting forth the termination and the reasons therefore. Such notice shall be sent at least fifteen (15) days before the proposed effective date of the termination.
The Member being terminated shall be given an opportunity to be heard, either orally or in writing, at a hearing to be held no fewer than five (5) days before the effective date of the proposed termination. The hearing shall be held by the core IDAO team. The notice to the Member of its proposed termination shall state that such Member is entitled, upon request, to such hearing, shall state that a date, time and place of the hearing will be established upon receipt of request therefore, and shall state, that in the absence of such request, the effective date of the proposed termination.
In the event that a hearing is held, then following such hearing the core team shall decide whether such Member should in fact be terminated, or sanctioned via written reprimand as determined by the core team; provided, that, any such decision to terminate or sanction such Member must be approved by a vote of two-thirds (2/3) of the core team (excluding the Affected core team member). The decision of the core team shall be final unless there is a successful appeal decision through the Blockchain Arbitration Forum.
Any action challenging a termination of Membership of a Member, including any claim alleging defective notice, must be commenced within fifteen (15) days after the date of the termination.
(c) Reinstatement Members terminated pursuant to Section(b) may only be reinstated upon the affirmative vote of at least two-thirds (2/3) of the core team members in Good Standing represented at a core team meeting at which a quorum is present.
(d) Non-Liability No Member shall be liable for the debts, liabilities, or obligations of the IDAO merely by reason of being a Member. 19
2.3 Rights and Obligation of Members
All members must execute a Membership Agreement by signing their inclusion vote on Snapshot. Thereby, they publicly accept the membership agreement of IDAO. Once accepted, Members shall be entitled to all rights and bound to all obligations generally afforded and imposed upon all Members of the IDAO. In addition, some Members shall be granted additional rights and obligations as a result of their participation in a Inhentance Working Groups. All Members need to attend their respective annual IP Working group meeting. With regard to point 2.f – all members need to fully understand the execution strategy of their respective working groups inheritance plan in the context of the Bitcoin Cycle. Some members may have been asked to immediately sell all holdings upon a trustees death. However there maybe other situations where a trustee specifically grants Fund Management rights to specific IWG members. In t those cases specific IWG members will need to carefully follow the execution plan as outlined by the Inheritance Plan by the trustee.
2.3.1 Voting Rules
The IDAO aims to apply general, free, equal, non-secret and blockchained-based voting sessions within the entire Association. Non secret shall mean that all voting shall be open and publicly verifiable onchain. As of February 2023, the voting system shall be Snapshot (Ethereum based). The voting should be set up by the system administrators of IDAO and made accessible to respective Members. For all Members with Voting Rights, whether legal entities or individuals, the principle of one Member - one vote applies. Any election, unless otherwise indicated in the IDAO governance process, votes within the IDAO will be decided by a simple majority. All voting within a specific IWP is mandatory. Votes concerning the DAO are not mandatory. When the deadline for the vote passes, non votes will be counted towards the majority vote unless otherwise stated.
2.4 Prohibited Member Conduct and Confidentiality
Any information relating to specific Inheritance Plans by IDAO members are strictly confidential and shall not be discussed with third parties specifically. The same holds for any consulting work regarding Inheritance Planning.
