Legal Wrapper: The Long Covid Labs project is operated by the Long Covid Labs Association, a non-profit Swiss Association (Verein). The Long Covid Labs Association is domiciled in the Canton of Zug, Switzerland.
Governance Process: Long Covid Labs (LCL) employs tokenocratic voting, where each token held represents one vote. The ideation of a governance proposal typically happens in the Long Covid Labs public Telegram channel. The governance process is divided into two phases:
Phase 1 - Informal Governance
Duration: 4 days Tool: Telegram In the first phase of the governance process, the proposal must be posted in the public LCL Telegram channel (t.me/longcovidlabs). The proposal must be posted to the #Governance topic within the Telegram channel, use this standard LCL proposal format, and be entirely contained within a single post. This phase is focused on discussion, where valid concerns and constructive feedback should lead to adjustments in the initial proposal before advancing. Each proposal post must meet specific voting thresholds to proceed to the next phase. Each post will offer Telegram-based reaction options including 'Agree' or ‘thumbs up’ 👍, and 'Disagree' or ‘thumbs down’ 👎. If the proposal receives at least ten affirmative votes by the end of the discussion period, including at least one affirmative vote by a core team member here (https://www.longcovidlabs.org/about), it will proceed to Phase 2 (otherwise, the proposal will be abandoned).
Phase 2 - Hard Governance & Token-Based Voting
Duration: 3 days Tool: Snapshot At this stage, the proposal should incorporate all the necessary revisions from the previous phase. The proposal will be posted on Snapshot by one of the elected contributors of the DAO. DAO token holders may delegate their voting rights to other token holders, and delegated votes count toward the proposal threshold and quorum. Valid proposals achieving a quorum of 3% circulating tokens and having a simple majority of the total votes in favor shall pass. If either a quorum or a simple majority of votes in favor is not achieved, the proposal will fail. The Association may elect to begin taking action before the voting period is closed if the outcome of the vote has already become clear.
Association Privileges The Long Covid Labs Association Committee reserves a veto right over proposals passed by the DAO token holders making up the DAO Community. This veto right is restricted for the following unique reasons:
Any proposal that is deemed to be illegal according to the laws of relevant jurisdictions Any proposal that is deemed to be unethical as defined by international law Any proposal that is not directly aligned with the mission of Long Covid Labs
Other than for those reasons, the Long Covid Labs Association Committee will execute the results of token holder votes on each DP in accordance with the outcome of the vote.
