ABSTRACT

This document outlines the proposal for the second election of the Open Campus DAO council. From July 16, EDU Token holders will have a 7-day window to vote FOR or AGAINST the proposed council candidates via the Open Campus DAO snapshot.

MOTIVATION

To maintain the constitutional guidelines of the Open Campus DAO as outlined in OCP-1, it is specified that the inaugural council will serve a nine-month term, with subsequent councils serving 12-month terms. With the initial term now concluded, we must proceed to elect a new council for the upcoming 12 months.

These regular elections are crucial for ensuring that our council members remain actively engaged in fostering the growth of the Open Campus ecosystem and in upholding the core values of the Open Campus DAO.

SPECIFICATION

1. “Council” is a group of five individuals elected by the Tokenholders through a Completed Proposal as per these Bylaws to help the Board with the implementation of Proposals and manage other matters as directed by the Tokenholders.
2. The Council’s role is to manage Proposals and uphold the community’s vision. Council members are expected to review past Proposals to avoid duplicating failed ones.
3. The first Council will serve for nine months. Future Councils will serve for twelve months. Tokenholders will vote to choose the next Council members. Any Token holders who wish to be Council members must announce their interest in the Governance Forum at least thirty days before the vote.
4. A Council member can be removed and replaced before their term ends if the Tokenholders pass a Completed Proposal to do so.
5. The Council is established to administer Proposals and serve the vision of the community of Tokenholders.
6. The second cohort of the Open Campus Council will serve a 12-month term starting from the date the OCP-11 DAO proposal is approved by the Tokenholders. Two months before the conclusion of this term, Tokenholders will be asked to vote for the third cohort of the Open Campus Council.
7. OCP-11 will be live on the Open Campus DAO snapshot from July 16 for 7 days where token holders can vote FOR or AGAINST the proposed candidates.

THE CANDIDATES

Yat Siu

Veteran technology entrepreneur/investor Yat Siu is the co-founder and executive chairman of Animoca Brands, a global leader in blockchain and gaming with the goal to provide property rights for virtual assets. Yat began his career at Atari Germany, then established Hong Kong Cybercity/Freenation, the first free web page and email provider in Asia. In 1998 he set up Outblaze, an award-winning pioneer of multilingual white label web services. After selling one of its business units to IBM, he pivoted Outblaze to incubate digital entertainment projects. One of those projects is Animoca Brands.

Yat has numerous accolades, including Global Leader of Tomorrow at the World Economic Forum, Young Entrepreneur of the Year at the DHL/SCMP Awards, and recognition as one of Cointelegraph's top 100 notable people in blockchain. A classically trained musician, Yat is a member of the advisory board of BAFTA (British Academy of Film and Television Arts) and a director of the Asian Youth Orchestra.

Will Fan

Will is the CEO and Head of School at NewCampus, a challenger business school tailored for emerging markets. NewCampus also serves as a core contributor to Open Campus, leading the Open Campus Accelerator program where they are deeply involved in financing innovative educational and future of work initiatives.

Driven by a passion for education, community building, and the exploration of new industries, Will's professional journey over the past decade has taken him from China and the Middle East to Southeast Asia.

Yogev Shelly

Yogev Shelly is the CEO and Founder of TinyTap, an innovative educational platform featuring over 250,000 interactive lessons created by educators worldwide and esteemed publishers such as Sesame, PinkFong, Super Simple Songs, Care Bears, Oxford, and more. Under his guidance, TinyTap has become one of the top 10 grossing kids apps worldwide, with thousands of creators generating additional income from the 11 million families on the platform. In 2022, TinyTap was acquired by Animoca Brands and was the anchor launch partner in the Open Campus with the goal of decentralizing education and positioning the community to capture the soon-to-be 10 trillion dollar industry of education.

Maia Sharpley

Maia Sharpley has carved a notable career in the global education sector, initially as a partner at Learn Capital, a venture capital firm dedicated to education initiatives worldwide. She currently holds board positions at several emerging edtech companies, including Onramp, BloomBoard, and SoloLearn, contributing her vast experience and strategic insight to their growth.

Her extensive background also encompasses key roles such as Vice President at Kaplan, where she led significant expansion efforts across the Asia Pacific region, and as the Executive of Operations at the NYC Department of Education, demonstrating her deep commitment to enhancing educational outcomes and infrastructure on a global scale.

Michael Narea

Michael is the entrepreneurial force behind Transcend Network, a premier incubator tailored to startups in the education and future of work sectors, having supported over 400 fellows in creating impactful educational solutions.

He is also the founder of several experience design firms, including FlightCX, Sunlight Technologies, and Moonshot Partners, where he blends innovation with user-centered design to revolutionize learning experiences.

Michael's prior role as the Director of Edtech Innovation Labs at GSV underscores his dedication to fostering educational innovation and his passion for leveraging technology to expand educational opportunities and community impact.

GOALS FOR THIS PROPOSAL

1. Uphold the constitutional guidelines outlined in OCP-1 for the Open Campus DAO.
2. Elect a new Council dedicated to decentralizing education and enhancing the educational ecosystem through blockchain technology.
3. Incorporate a diverse range of expertise and knowledge from stakeholders experienced in various sectors of education and Web3 into the Open Campus ecosystem.
4. Expand the Open Campus network to facilitate the onboarding of new partners into our decentralized education ecosystem.
5. Ensure that experienced leaders who embody the community's vision are guiding the Open Campus DAO.

RISKS & DRAWBACKS

Risk 1: Ineffective Council Performance

• Drawback: Council members might not perform as expected, hampering the DAO's objectives and projects.
• Solution: The option for early dismissal through community vote if a Council member underperforms drastically is already established in the Open Campus DAO constitution.

Risk 2: Limited Engagement from Tokenholders

• Drawback: Low engagement from Tokenholders can lead to a lack of diverse perspectives in decision-making.
• Solution: Increase engagement through regular communication, transparent operations, and incentives for voting participation.

Risk 3: Misalignment with the DAO’s Vision

• Drawback: New Council members might prioritize personal or minority interests over the DAO's long-term vision.
• Solution: Implement an onboarding program for Council members that reinforces the DAO’s goals and values. Conduct regular alignment reviews and community feedback sessions to ensure ongoing fidelity to the vision.

By addressing these risks head-on with proactive strategies, the Proposal aims to strengthen governance and ensure the sustained success and integrity of the Open Campus DAO.

KEY TERMS

1. “Completed Proposal” is a proposal that has been archived.
2. “Council” is a group of five individuals elected by the Tokenholders through a Completed Proposal as per these Bylaws to help the Board with the implementation of Proposals and manage other matters as directed by the Tokenholders. The initial Council will be appointed by the Foundation Director(s) as per the Foundation Articles and will serve for an initial term of nine months.
3. “Foundation” refers to the EDU Foundation.
4. “Foundation Articles” are the Memorandum and Articles of Association.
5. “Foundation Director(s)” are the director(s) of the Foundation.
6. “Governance Forum” is a governance forum page designated by the Foundation accessible through a URL.
7. “NFT” non-fungible tokens of the Protocol which are created.
8. “Proposal” means a proposal put forth by a Tokenholder that satisfies the Proposal Threshold to a vote of all Tokenholders.
9. “Proposal Threshold” at the time any Proposal is made, ownership of at least one (1) Token or NFT (as applicable) at that time.
10. “Protocol” means the runtime code deployed to the BNB blockchain network and maintained at the GitHub repository located at https://github.com/opencampus-xyz/EDU-smart-contract/blob/main/contracts/EDuCoin.sol
11. “Token” means the governance token of the Protocol, known as the “EDU Token”, created, recorded, and maintained through smart contract code deployed to the BNB Chain blockchain network.
12. “Tokenholder” means at any relevant time, an owner of one or more Tokens at such time.
