Polywrap DAO will be engaging Campbell Law, the Managing Director of Silverside Management as Registered Office and Secretary of our legal entity.
Our entity requires a Registered Office and Secretary as part of the formation requirements. Their roles vary depending on the drafted incorporation documents; however, below is a general overview of what each role does.
The obligations of the Registered Office (RO) are typically to ensure annual filings, economic substance filings, beneficial ownership filings, etc. on behalf of the foundation company.
The Secretary has an obligation to maintain “a full and proper record” of the Secretary’s activities and enquiries made for giving the no objection notice, including information given to the Secretary for that purpose, which includes accounts, documents and records.
Below is a copy of the invoice provided by Silverside Management totaling $8,305 payable in USDC. This will be an annual fee. This first invoice will cover payments through December 31, 2022.

Campbell has over 25 years’ experience in the financial services industry in the Cayman Islands.
Campbell has considerable experience working within the offshore world including 11 years as a VP at Goldman Sachs and focuses on corporate governance, company set up, AML and regulatory risk management. Campbells expertise also extends to local business set up, management and licensing.
Campbell is Notary Public and has sat on various Cayman Islands Government Boards including the Trade & Business Licensing Board and is the former Chairman of the Liquor Licensing Board along with review committees for both the Trade & Business Licensing Law and the Local Companies Control License Law.
