[2023-01] dOrg <> Polywrap Update

Overview

This is a bilateral proposal between Polywrap and dOrg to do the following:

1. Terminate dOrg’s Flex Contributor and Committed Contributor work streams for Polywrap on Dec 31, 2022.
2. Polywrap agrees to pay dOrg a discounted solicitation fee (see calculation below) by Jan 31, 2023 to be released from dOrg’s non-solicitation policy and gain the perpetual right to directly contract any dOrg member.
3. dOrg agrees to release and discharge Polywrap from any and all claims, demands, damages, losses, liabilities, costs and expenses, of any nature whatsoever, known or unknown, which dOrg has or may have against Polyrwap arising from any act or omission of Polywrap, or any of its agents or representatives.

Solicitation Fee Calculation

This solicitation fee is calculated based on the total annualized earnings of dOrg members working through the committed contributor work stream that is now being terminated.

For added context, the purpose of this proposal is to save the Polywrap DAO money over the long-term by working with these contributors directly instead of through an agency. It also reduces administrative frictions by eliminating an intermediary that has become unnecessary in recent months.

In the past, dOrg has helped vet, onboard and manage contributor teams for Polywrap on an as-needed basis. As Polywrap's roadmap and needs have stabilized, however, there is less of a need for these services. That is why this proposal seeks to establish mutually agreeable terms to terminate these agency services while giving Polywrap the ability to work with directly with dOrg members into the future.
