This proposal establishes a Large Token Holder Council for the Quantum Biology DAO, to make it easier for large token holders to get more information about and give input into the DAO. Large token holders are those who hold 1,000,000 or more QBIO in a wallet.
The Quantum Biology DAO has a three stage governance process (DP-1):
Phase 1: Drafting in Discord
Phase 2: Voting and discussion on Common
Phase 3: Token voting on Snapshot
For a proposal to pass either Phase 2 or Phase 3, a majority of votes must be cast in favor; also, a minimum number of voters must participate (i.e., to meet quorum). In Phase 2, each person has one vote and must hold at least 10,000 QBIO in their wallet (DP-14) in order to vote. In Phase 3, each token is one vote. As a result, Phase 2 gives more power to small token holders, while Phase 3 gives more power to large token holders.
In February 2026, the DAO’s annual 2026 budget (DP-23) was defeated in Phase 3 (DP-23 vote record) by a coalition of large token holders, despite the proposal having received significant community feedback during Phase 1 and having passed Phase 2 (DP-23, Phase 2). Efforts to determine why large token holders voted against were not successful.
Subsequently, the DAO has passed components of the annual 2026 budget, one piece at a time. To date, this has not been opposed by large token holders. The net effect of blocking the DAO’s annual 2026 budget, therefore, has only been to slow down the DAO’s operations.
In discussions that followed, including in the prospective Governance working group, it was proposed that a Large Token Holder Council be created so that it is easier for large token holders to express their opinions and ensure that their feedback is taken into account at the DAO. This follows similar proposals that had been made previously but not acted on.
The DAO’s governance token, QBIO, is currently held by 500-1000 wallets. The total QBIO supply is 1,000,000,000 QBIO. At the time of this proposal, the number of wallets with 10m+ QBIO is approximately 5, the number with 5m+ QBIO is approximately 10, and the number with 1m+ QBIO is approximately 25.
1. “Large token holder,” defined. For the purposes of this proposal, a “large token holder” at the Quantum Biology DAO is defined as a token holder who is in possession of a wallet with 1,000,000+ QBIO, or 0.1% of the total QBIO supply.
2. Large token holder designation. A given wallet with 1,000,000 or more QBIO determines a single person to be a large token holder at any one time. In the event that a wallet is owned by a group or organization, that group or organization shall select a single person to represent that group or organization as the designated large token holder.
3. Large token holder verification. To be verified as a large token holder, a person must demonstrate that they are in possession of a wallet with at least 1,000,000 QBIO. This may be demonstrated by suitable microtransactions, as witnessed and reported by the DAO’s Governance working group. The Governance working group will ensure that verification is cheap and easy. Reverification may be requested, at the discretion of the Governance working group, if large token holder status is unclear.
4. Large Token Holder Council established. Upon the passage of this proposal, there shall be created a “Large Token Holder Council,” which is a group composed of verified large token holders. The purpose of the Large Token Holder Council is to provide a venue for discussion between large token holders, so that their opinions and feedback may better be incorporated into the DAO’s plans and activities.
5. Large Token Holder Council membership. Upon verification, a large token holder automatically becomes a member of the Quantum Biology DAO’s Large Token Holder Council. Members may resign from the council at their discretion. Members who have resigned may rejoin after their large token holder status is reverified. Members may also delegate their Council member status, who will act as Council members in their place.
6. Large Token Holder Council meetings. The Large Token Holder Council shall meet monthly to discuss matters pertaining to the Quantum Biology DAO. The DAO’s Governance working group shall organize and host these meetings. Large Token Holder Council members are automatically invited. The DAO’s Governance working group shall send one or two members to host. Large Token Holder Council members and the hosts may invite other parties to speak to the Council, with the permission of a majority of Council members.
7. Further Council member powers. Further powers, privileges, and responsibilities of members of the Large Token Holder council may be determined in the future by a further DAO proposal.
By creating a Large Token Holder Council, the DAO will facilitate and encourage communication between the DAO and its major token holders. Setting the criterion at 1,000,000 QBIO ensures that approximately the top 25 QBIO holders (at the time of this proposal) are eligible to be members. Ideally, the Large Token Holder Council makes it so future proposals at the DAO adequately represent the interest of large token holders and will not be unduly blocked.
