SUMMARY: As the ResearchHub Foundation scales and more participants want to interface with us, it will be increasingly important to have legal counsel guiding us on the variety of obligations and relationships we take on. We propose a 50,000 RSC monthly retainer from the ResearchHub Foundation treasury in order to have legal counsel when necessary. The successful passing of this governance proposal “RIP-11 - Legal Counsel Budget” will be the proxy for signing off on the Retainer Agreement outlined below.
MOTIVATION: In order to have a 3rd party provide guidance and direction for the ResearchHub Foundation in various matters under the purview of legal advice.
PROPOSAL AND ACTION: We propose a 50,000 RSC monthly retainer from the ResearchHub Foundation treasury in order to have legal counsel and advice when necessary. There may be further counsel needed in the future outside the scope of this proposal and will be compensated on a bounty basis.
Retainer Agreement This ATTORNEY- CLIENT FEE CONTRACT is entered on the date of successful passing of governance proposal of “RIP-11: Legal Counsel Budget”, between the ResearchHub Foundation, herein referred to as “Client”, and Edwin Urey Jr., Attorney-at-Law, herein referred to as “the Attorney”. CONDITIONS. This Contract will not take effect, and the Attorney will have no obligation to provide legal services, until Client provides a link to a successful Snapshot governance vote and/or appropriate hash and deposits 50,000 ResearchCoin (RSC) to the Ethereum wallet called for under paragraph titled “Legal Fees”. SCOPE AND DUTIES. Client hires the Attorney to provide legal services as follows:
LEGAL FEES. Client agrees to pay 50,000 RSC monthly on the 1st day of each month as a retainer fee. The Attorney and Client mutually agree that no attorney-client relationship shall exist until the Attorney has been paid the first retainer fee. RSC will be sent monthly to the following wallet address on the Ethereum mainnet: 0xb002B7B0c0cB52eb0CEbf5CAb4e7b442D9686E67. COSTS AND EXPENSES. In addition to paying legal fees, Client shall reimburse the Attorney for all costs and expenses incurred by the Attorney, including, but not limited to, process servers’ fees, fees fixed by law or assessed by courts or other agencies, court reporters’ fees, long distance telephone calls, messenger and other delivery fees, parking, investigation expenses, consultants’ fees, expert witness fees and other similar items. Client authorizes the Attorney to incur all reasonable costs and to hire any investigators, consultants or expert witnesses reasonably necessary in the Attorney’s judgment, unless one or both of the clauses below are initiated by Client and the Attorney. DISCHARGE AND WITHDRAWAL. Client, specifically Client Leads, may discharge the Attorney at any time. the Attorney may withdraw with Client’s consent or for good cause. Good cause includes Client’s breach of this Contract, Client’s refusal to cooperate with the Attorney or to follow the Attorney’s advice on a material matter or any other fact or circumstance that would render the Attorney’s continuing representation unlawful or unethical. CONCLUSION OF SERVICES. When the Attorney’s services conclude, all reasonable unpaid charges shall become immediately due and payable. After the Attorney’s services conclude, the Attorney will, upon Client’s request, deliver Client’s file to Client, along with any Client funds or property in the Attorney’s possession. DISCLAIMER OF GUARANTEE. Nothing in this Contract and nothing in the Attorney’s statements to Client will be construed as a promise or guarantee about the outcome of Client’s matter. the Attorney makes no such promises or guarantees. The Attorney’s comments about the outcome of Client’s matter are expressions of opinion only.
