Proposal

1. Discount on Product Rental. CETI AI agrees to provide ROKO with a “Strategic Partner Preferred Rate” for H100 equipment subject to the terms and conditions of this Agreement and CETI AI's standard rental agreement, which will be shared separately.

2. Token Swap.

2.1. Each party agrees to swap tokens valued at $50,000 USD. ROKO will transfer $50,000 USD worth of ROKO tokens to CETI AI, and CETI AI will transfer $50,000 USD worth of CETI AI tokens to ROKO. The valuation of each token for the purposes of this swap will be based on the average closing price on www.coingecko.com over the last 7 days prior to the swap. The Token Swap shall take place within 30 days of the Effective Date.

2.2. Both parties agree that the ROKO tokens will only be used to pay for on-demand per hour rental of H100s at a rate of $7 USD per hour for one year from the Effective Date.

2.3. The CETI AI tokens will only be used to pay for exclusive use of ROKO’s three A100s as needed for one year from the Effective Date.

3. Co-Branded Event at Consensus.

3.1. Both parties agree to co-host a side event at the upcoming Consensus conference in May 2024 located in Austin, Texas, USA. The event will not include a booth but will be branded jointly by ROKO and CETI AI.

3.2. Costs for hosting the event, including venue, catering, and promotional materials (banners, flyers, swag, invites), will be shared equally between ROKO and CETI AI.

3.3. Both parties will collaborate on the design and production of all promotional materials to ensure co-branding is represented as agreed.
