SIG-003 Proposal to Restructure Governed Organization

This proposal would authorize a restructuring of the governed legal wrapper entity "Sigil Consulting" into a for-profit structure for greater flexibility in quickly raising external funding and generating significant interest from external stakeholder partnerships.

Purpose

The purpose of this proposal is to create a DAO-governed legal wrapper entity that is structured as a for-profit LLC. DAO representation would remain the same until such a time as another proposal would authorize a new TGE with incentive structure therein. The LLC would be registered for the purposes of interacting with external legal entities and taking corporate actions within the real world including, but not limited to, raising capital, participating in investment activities, issuing corporate accounts, managing and interacting with banking and investment accounts, engaging with fiat currency, forming partnerships and collaborations with other corporate entities, and protecting DAO organization members from liability.

Scope of Action

This proposal would authorize the following actions to be taken by the DAO Core:

• Registering an LLC as well as forming and assigning all executive offices and establishing duties
• The creation of a legally binding set of operating principals in the form of an Operating Agreement and the establishment of an assigned registered agent

The scope of this proposal would not restructure the DAO in any way in its current form and any such actions would require additional proposals in the future. The treasury, current token, equity split, etc would remain.
