POWER is the best positioned team to take the reigns of management of SpiritSwap for a number of reasons but not limited to the facts that POWER has in possession over $1m in liquid assets, a community of thousands of loyal investors and NFT holders, a highly skilled and diverse team that is not bloated in size, and most of all -- an equally shared love of community that so beautifully encapsulates the central focus of SpiritSwap, its team, and its mission.

1. POWER has over $1m in liquid assets across multiple chains ready to mobilize for use. The plan is to to allocate ~200,000 USDC of value to SpiritSwap as the first phase of ensuring the exchange not only is surviving, but has the necessary funds to THRIVE. POWER agrees that money isn't everything, but it helps to get the ball rolling. POWER has the means and the opportunity to give SpiritSwap the boost it needs to maintain its formidable legacy as the POWER team grows it to an ever brighter and more POWERFUL future.

2. POWER has cultivated a community of thousands of loyal members, investors, and NFT holders since it's inception in December 2021. Time and time again POWER has displayed resiliency in the face of adversity from intentional attacks on our ecosystem, to bridge hacks and multichain hacks. POWER has endured it all and is set to survive with a multi-year runway all while still ensuring to airdrop USDC to our NFT holders each and every month. POWER has changed 100% for the better since our inception, as our team and community is driven by a desire to grow and change as the market and industry requires, always rising to the challenge of promoting excellence and clarity in DeFi and on the Fantom Network.

3. POWER has a core team of 10 unique and skilled individuals consisting of world-class developers, account/finance managers, business owners, and customer service experts. A small team ensures not only a low cost budget for team expenses, but also reduces the corporate lag in team decision making. This means that POWER can run SpiritSwap incredibly leanly, with low-cost, and with high efficiency as the team does not have to wade through layers of corporate complexity to make swift and important decisions for the benefit of the SpiritSwap community.

4. Community is everything at POWER. A focus on the investor, the user, and the average crypto enthusiast have always been at the forefront of POWER's design. Striving to always simplify, streamline, and unify implementations both on and off chain have been a focus for ONE SINGULAR PURPOSE: to ensure that the community, the people who make POWER powerful, are satisfied. This mindset will be put to full force with the SpiritSwap acquisition. It truly is a terrible event for many projects on Fantom and elsewhere, and that impact is felt for fully at POWER. The team stands in respect and honor for those who worked tirelessly to make SpiritSwap great, and who have undoubtly shed tears from the pain that this fruitless tragedy has caused. POWER will take all the measures we can to protect SpiritSwap moving forward from any future tragedies like this from impacting the wonderful community that backs this beloved exchange. POWER aims to restore Spiritswap beyond its former glory.

6. Addressing the news that POWER has been also developing its own Dex is important in fostering honesty and clarity from the start. PowerSwap is a dex that the POWER team has been designing and building for the better part of six months. Unique and exciting plans have been laid down to make PowerSwap not only feel fresh compared to most Dex' found on other chains, but also to have genuinly more utility and user engagement. It should be made clear that POWER PLANS TO IMPLEMENT THE QUALITY DESIGNS OF POWERSWAP INTO SPIRITSWAP. One of the main design points of PowerSwap is to create a uniquely powerful user points system. Each time a swap, stake, or other interaction is done with the Dex contracts, the user wallet earns points and is then airdropped $USDC monthly based on these points. This builds direct value for users at SpiritSwap not just to use the already quality product, but also to earn funds back for doing so. This will be the POWER teams phase 1 updates for SpiritSwap to boost volume for the Dex. The team also plans to reduce costs of management, as POWER's world-class team feels confident that running costs can be reduced by 40-70% for day-to-day expenses that allow SpiritSwap to work 24/7. POWER plans to continue to support the existing SpiritSwap ecosystem along with the tokens that make SpiritSwap so unique and loved. The team only aims to bring more value to SpiritSwap than ever before by adding new and innovative ideas to the table to bring SpiritSwap back to its golden-era roots and beyond.

7. The POWER team will work to provide a solid roadmap for the various phases of updates and changes that the team believes are vital to ensuring the success of SpiritSwap. This roadmap will be updated on Gitbook so that all can see in real time the updated information as it is added, furthering the clarity and honesty valued by POWER.

8. POWER aims to work hard, especially in the beginning stages, to do a tremendous amount of outreach to bring users and projects not only to Fantom but to SpiritSwap specifically. The team will ensure proper information is provided to teams both new and old about SpiritSwap's new offerings under the POWER management.

9. V3 is incredibly important to the success of SpiritSwap and is therefor important to the POWER team to utilize as soon as possible in the SpiritSwap updates. Using this updated and powerful backend system will be the driving force to help SpiritSwap stay competitve in the Dex market. It is on the list of Phase 1 priorities for the POWER team to implement.
