SDGP-003 Engaging DAO Service Provider

Introduction

Having successfully completed the transition to the new legal structure, Squiggle DAO needs to ensure that contractual relations are now in place, clarifying the relationship between the Cayman entity and the team who are carrying out day to day activities.

It is essential that DAO members are not seen to be conducting management and control of the DAO as this would invalidate the Cayman structure and create a liability for all token holders.

In order for team members to be able to serve the DAO without creating such liability, they must do so under a defined contract for services in their capacity as service providers, not as DAO members or token holders.

This SDGP covers the engagement with the service provider (Day Zero Labs) replacing the existing team. All the current core team members will move to Day Zero Labs as an umbrella.

Term of service

The DAO will engage Day Zero Labs, with effect from November 1st 2023 until December 31st 2024, afterwhich, service provider engagement will be reviewed annually.

Services

These services will include items such as:

• Website & Product Design
• Strategy and Creative Input
• Operations & Business Development
• UX/UI
• Smart Contracts
• Project & NFT Management
• Financial Planning, DeFi & Lending Consulting
• Governance & Treasury Management
• Legal & Regulatory coordination
• Research & Data Analytics
• Social Media & Community Management
• Podcast Production & Video Editing

The fee will not include items such as:

• Travel expenses & event expenses
• Technology expenses
• Legal expenses
• External visual designers
• Marketing
• Merch
• Gas

Fee

The following fee will be payable monthly, due by the last friday day of each month, beginning November, 2023.

45,500 USD 10,500 SQUIG

This fee will replace previous salaries paid to all team members but also covers admin expenses arising from the operation of the service provider structure etc.
