Summary

ETHDenver is "the largest and longest running ETH event in the world". This proposal, if successful will secure Tracer DAO for the 'MetaLite Sponsorship' package for ETHDenver 2022. More information on the conference can be found in the document attached.

As a sponsor for ETHDenver, Tracer DAO will gain invaluable exposure amongst some of the other great projects in DeFi. This will provide Tracer DAO with opportunities including:

• Business development;
• Recruitment; and
• Further growth of the Tracer DAO community.

Additionally, members of Tracer DAO are encouraged to attend the conference to signal the strength that Tracer DAO's community holds. In return, this will provide Tracer DAO with greater opportunities for growth.

Consideration

In exchange for the provision of the Deliverables set out in the Sponsorship Agreement, Tracer DAO will pay to ETHDenver:

Deliverables

If engaged by Proposal to provide the services described in this Proposal to the DAO, ETHDenver will provide the following (Deliverables):

1. The deliverables of this proposal are listed as in the Sponsorship Agreement.

Variation and Termination

1. If this proposal is successful, its engagement can be varied or terminated by future proposal.

Conflicts of Interest

In the context of the Tracer project, conflicts of interest include:

1. Existing Service Providers who are Related Parties; and
2. Existing (vested and unvested) holdings of TCR tokens.

The following conflicts of interests are declared:

Interpretation

Unless otherwise defined in this offer, all terms beginning with a capital letter which are defined in the Participation Agreement have the same meaning unless the context otherwise requires.

If this offer is accepted as a proposal under the Participation Agreement, others may more formally document aspects of this proposal.
