Overview

The state of Wyoming continues to position itself as crypto-friendly by recently passing the Decentralized Unincorporated Nonprofit Association (DUNA) Act on 03/07/2024 via SF0050. Miles Jennings and David Kerr published a blog post on a16zcrypto.com hailing “The DUNA: An Oasis For DAOs”.

Proposal

Web3 Freedom Club DAO is currently functioning as an incubator / think-tank within 3winDAO (Triple Win Foundation) Ecosystem.

I propose that we Pre-Launch DUNA DAO in 2024-Q2 with a planned launch date of July 1st 2024 when the Wyoming DUNA Act goes into effect. This will allow us to form a Wyoming DUNA for DUNA DAO and collaborate with other blockchain / DAO / Web3 ecosystem stakeholders with a potential DAO goal to create a “DUNA DAO Compliance as a Service”.

3winDAO Ecosystem Fit

How would DUNA DAO benefit our 3winDAO ecosystem (3win Protocol)? I view the DUNA “legal wrapper” as a potential alternative entity type surrounding tokenizing RWAs (Real-World Assets) which is a core component of what we are building. Historically most SPVs (Special Purpose Vehicle) utilize a LLC (Limited Liability Company) entity. The normal costs associated with registering & maintaining a LLC (IE: ~$100/yr) could instead be diverted to the DUNA DAO compliance service.
