Background:
The Troop Cards project was initiated in Q3, 2022 as a sub-project of BlackPool DAO. It was discussed and agreed by the DAO's major contributors after a series of weekly 'Board Calls' and executed with help from internal devs and external artists. No governance proposal was taken or deemed necessary prior to the project's approval.
The project was set up to provide Troop Card holders with a yield based on the performance of YNWA within Sorare. To participate in the project required the purchase of an eligible Troop Card NFT that was uncorrelated with the main BlackPool BPT token and no purchase or ownership of BPT was not a pre-requisite to being a Troop Card holder.
In January 2024 BlackPool's Legal Counsel highlighted impending regulatory changes with MiCA Regulation (due to take effect December 2024) and so it was recommended that this project be closed.
Upon acknowledging the above changes, Troop Card holders discussed together a potential compensation that took into consideration the fact the underlying Sorare cards used to generate the performance yield had dropped over 50% since the projects inception.
A 50% reimbursement on the base card price of eligible Troop Cards: (Base card price for Unique and Rare set owners would be considered 10 ETH and 1 ETH for Rare and Common set owners respectively) These were deemed fair and reasonable in Jan 24 when the prevailing ETH/USD rate was $2.5k.
The preference to receive the reimbursement was in ETH was duly noted, however, an adjustment to reflect ETH/USD trading at $2,500 (up from $1,200 - $1,500 range when the majority of Troop Cards were purchased) was taken into consideration and was to be reflected in the final calculation.
This proposal was communicated to BlackPool DAO for approval, but unfortunately, there has been no confirmation from the DAO despite several attempts by Troop Card holders to seek clarification since. (Jan 24 to present day).
Current Situation:
Troop Card holders seek to resolve this matter amicably and swiftly, in the best interest of both the Troop Card community and the wider BlackPool DAO token holders.
There is acknowledgement and appreciation of the DAO's recent decision to pivot to a 'Seed Club', however, for the sake of clarity Troop Card holders do not view having their benefits/perks converted or switched to this new model as a fair or reasonable.
A more recent concern that has led to a loss of faith are the conflicting and inaccurate tweets that have been communicated by the founder of the DAO seemingly distancing themselves from the Troop Cards. The DAO's pivot to a Seed Club has also raised questions as to why certains decisions can proceed without the need for governance yet others are overlooked or ignored.
Proposal:
Approval for Wind Down: We propose that BlackPool DAO officially approves the wind down of the Troop Cards project, as agreed upon by Troop Card holders. This will facilitate an orderly exit without further delay or complication.
Compensation: Troop Card holders seek confirmation of the reimbursement being offered and expect this to be in-line with the discussion that took place in January when they were notified that this project should no longer continue.
Clarity and Communication: By means of acknowledgement we request BlackPool DAO provide clear and transparent communication regarding their acceptance of this wind down process including the approval of the proposed compensation in order to rebuild trust within the community.
Recognition of Participation: Troop Card holders emphasize that their participation in this project was based on the benefits offered and the absence of the requirement to buy BPT. It is important to acknowledge and respect their choice in participating in the project under these conditions.
The Vote:
This vote is to officially confirm the intentions of Troop Card holders to the leadership team of BlackPool DAO.
Having been patient for 4 months they request acknowledgement of this vote and confirmation of the above points in writing no later than 31st May, 2024.
A further month (deadline June 30th, 2024) will be granted to organise and receive payment (can be directly from the DAO or from YNWA directly) for the buy-back of the eligible Troop Cards.
